Welcome to Ticketplace (“we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile application, and services (collectively, the “Platform”). By using the Platform, you agree to these Terms. If you do not agree, please do not use our services.

1. Definitions
• “Platform”: Refers to the Ticketplace website and mobile applications.
• “User”: Refers to anyone accessing or using the Platform, including ticket buyers and event organizers.
• “Organizer”: Refers to individuals or entities hosting events and listing tickets for sale on the Platform.
• “Tickets”: Refers to any pass, admission, or access sold or distributed via the Platform.

2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use our services. By using the Platform, you represent and warrant that you meet these requirements.

3. Use of the Platform
3.1 User Responsibilities
As a User, you agree to:
• Provide accurate and up-to-date information when creating an account.
• Keep your account credentials secure and confidential.
• Use the Platform for lawful purposes only.
• Refrain from reselling tickets obtained through the Platform unless explicitly allowed by the Organizer.
3.2 Prohibited Activities
You agree not to:
• Engage in any fraudulent, abusive, or illegal activity.
• Interfere with the Platform’s operations or security.
• Use automated systems to access or scrape the Platform without permission.

4. Ticket Sales and Purchases
4.1 Ticket Purchases
• Ticket prices are determined by the Organizer and may include additional service or processing fees.
• All sales are final unless otherwise specified by the Organizer. Refund and cancellation policies are set by the Organizer and are subject to their terms.
4.2 Ticket Delivery
• Tickets will be delivered electronically unless stated otherwise.
• Users are responsible for safeguarding their tickets, including QR codes or other digital formats.
4.3 Event Changes and Cancellations
• Organizers are responsible for notifying attendees of event changes or cancellations.
• Ticketplace is not liable for event cancellations, rescheduling, or other Organizer actions.

5. Organizer Responsibilities
If you are an Organizer, you agree to:
• Provide accurate details about your events, including date, time, location, and ticket terms.
• Honor all tickets sold through the Platform.
• Comply with all applicable laws and regulations, including tax obligations.
Organizers are solely responsible for any disputes arising from their events, including refunds, disputes, or cancellations.

6. Fees and Payments
6.1 Service Fees
Ticketplace may charge service fees for ticket transactions. These fees will be disclosed at the time of purchase or event creation.
6.2 Payment Processing
Payments are processed through third-party payment gateways. Ticketplace is not liable for payment failures, delays, or errors caused by these gateways.
6.3 Taxes
Users and Organizers are responsible for any applicable taxes related to ticket sales or purchases.

7. Intellectual Property
7.1 Ownership
All content, trademarks, logos, and designs on the Platform are owned by Ticketplace or its licensors. Unauthorized use is prohibited.
7.2 User Content
By submitting content (e.g., event descriptions, reviews), you grant Ticketplace a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content on the Platform.

8. Liability and Disclaimers
8.1 No Warranty
The Platform is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Platform's accuracy, reliability, or availability.
8.2 Limitation of Liability
To the fullest extent permitted by law, Ticketplace is not liable for:
• Losses arising from event cancellations or changes.
• User or Organizer misconduct.
• Technical failures, including those caused by third-party services.
Our total liability for any claim is limited to the amount paid to Ticketplace for the affected transaction.

9. Termination
9.1 User Termination
You may close your account at any time.
9.2 Termination by Ticketplace
We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities.

10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of Ghana
10.2 Arbitration
Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the rules of Ghana Arbitration Centre

11. Amendments
We may update these Terms from time to time. Changes will be effective upon posting to the Platform, and continued use indicates acceptance of the updated Terms.
